STATUTE 

Foundation of Memory Places Near Auschwitz - Birkenau


Chapter I 
General Provisions

§ 1 
Name of the Foundation

1.Foundation under the name "Foundation of Memory Places Near Auschwitz-Birkenau", hereinafter referred to as the "Foundation" was established by notarial deed drawn up at the Notary Office in Oswięcim. Sienkiewicz Street 9 by Catherine Zubrowska Notary, Register   A No. 4687/2012, by  the will of the founder mr. Dagmar Kopijasz.

2.The Foundation operates under the provisions of the Act of 6 April 1984 on Foundations (consolidated text 1991 Coll. Laws No. 46, item. 203, as amended) and the provisions of this Statute.

§ 2

1.The Foundation shall have legal personality.

2.The Foundation is apolitical and not connected with any religion.

3.The registered office of the Foundation is the city Brzeszcze.

4.The area of activity of the Foundation is the area of the Polish Republic, where the extent necessary for the proper implementation purposes, it may also operate outside the borders of the Polish Republic.

5.Execution of the tasks of the Foundation may be conducted in cooperation with other entities.

6.The Foundation may for the purposes of cooperation with foreign countries use the translation of names in selected foreign languages.

7.The Foundation uses the   seal with the code name and registered office of the Foundation.

8.The Foundation may establish badges, medals of honor and award them with other prizes and awards, natural and legal persons have contributed to the foundation.

9.The Foundation operating time is unlimited.

10.Minister competent for the statutory goals of the Foundation is the Minister of Culture and National Heritage.

 

Chapter II 
Subject matter and activity form of the Foundation

§ 3 
The objectives and principles of the Foundation.

1.The purpose of the Foundation is:

1.Preservation, storage, protection, maintenance and care of things, objects and artifacts associated with   Nazi German concentration camp and extermination camp of Auschwitz-Birkenau and its sub-camps, which are in the hands of private individuals.

2.Maintenance, inventory, care for the preservation of authenticity for the purpose of museums and exhibitions   things, objects and artifacts related to the former Nazi German concentration camp and extermination camp of Auschwitz-Birkenau and its sub-camps.

3.Activities of exhibition, publishing, scientific, cultural and educational in terms of the Holocaust, the martyrdom, genocide, and the German Nazi concentration camps.

4.Rental exhibits and artifacts from private collections.

5.Promoting and organizing volunteer.

2.The Foundation carries out its statutory objectives by:

1.Creating and co-related exhibitions related to  martyrdom, the Holocaust in and outside the country.

2.Raising funds from private sources, state, European and international for preservation, storage, protection, conservation, care of things, objects and artifacts related   to the former German Nazi concentration camp and extermination camp Auschwitz-Birkenau and its sub-camps held by private individuals.

3.Raising funds for the preservation and maintenance of the founder's collection and monuments held by the Foundation.

4.Organize, share, rent, promote collections and artifacts of the founder of the former German Nazi concentration and extermination camp Auschwitz-Birkenau.

5.Organizing the exhibition space   commemorating the Holocaust, the martyrdom, genocide and the German Nazi concentration camps.

6.Organizing meetings, seminars, conferences, trainings, lectures on topics related to the Holocaust, martyrdom, genocide and German Nazi concentration camps.

7.Working together with organizations, individuals and legal entities that operate convergent with the objectives of the Foundation.

8.Working together with local authorities, government, non-governmental organizations and academic and research centers in Poland and in the world in terms of the said purposes of the Foundation,

9.Initiating and financing their own projects, including in cooperation with the Museum Auschwitz - Birkenau and other organizations and museums.

10.Publicating, selling, promoting publications of the foundation.

11.Organization and funding of promotional activities, information, and printing, including: the design and printing of brochures, folders, posters, development and dissemination of audiovisual material, the creation of websites, preparation and dissemination of other materials, advertising, promotional.

12.Creating paths for educative tours in the nearby places of remembrance of the former   German Nazi concentration and extermination camp Auschwitz-Birkenau, in areas not falling within the area of the Auschwitz-Birkenau.

13.Organize, receiving and handling of visitors and trips.

§ 4

1.The Foundation's assets represents:

1.The founding fund specified in the instrument of incorporation of the Foundation.

2.Movables, real estate, property rights and non-pecuniary, shares, securities, cash and other tangible goods received and acquired during the Foundation's activities.

 § 5

1.Revenue foundations come in particular from:

1.donations and grants submitted by the founder,

2.domestic, foreign and international donations, legacies,

3.domestic, foreign and international grants, subsidies and grants,

4.income from movable and immovable assets of the Foundation,

5.income from fund-raising and public events

6.interest on bank deposits.

7.income derived from EU funds and EU institutions and other international

8.receipts from dividends and profit shares held,

9.other sources of income provided by law.

10.other income foundation owns.

§ 6

1.The Foundation manages the financial and accounting records in accordance with appropriate regulations.

2.The assets and income of the Foundation are intended solely for the implementation of statutory objectives and to cover operating costs.

 

Chapter III 
Bodies of the Foundation

The authorities of the Foundation. 

§ 7

1.The governing bodies of the foundation are:

1.The Foundation Council,

2.Board.  

The Foundation Council. 

§ 8

1.The Foundation Council is the body which provides control and consultative activities of the Foundation.

2.The Foundation Board consists of three to six members.

3.The Board of Trustees of the statute falls under the Founder and are selected by   the natural or legal persons.

4.Members of the first Council appointed by the Founder. The following members of the Council in place of those who have ceased to hold office or to extend the composition of the Council, are appointed by decision of the Council with the consent of the Founder.

5.In particularly justified cases, the dismissal of a member of the Council and thereby depriving him of membership in the Council, may occur as a result of a resolution adopted unanimously by the remaining members of the Board of Trustees. Founder can not thus be deprived of membership in the Foundation.

6.Membership in the Foundation Council shall cease with a written resignation of membership or death of a member of the Council or by the dismissal of a member by the Founder.

7.You can not combine membership in the Foundation of membership in the Board of the Foundation.

8.In case of appointment of a member of the Foundation Board, for its approval, the Board of the Foundation - the membership of such person in the Foundation Council shall be suspended, respectively, for the duration of the function

9.The Council shall elect from its members a Chairman and Deputy Chairman. Chairman of the Board directs the work of the Council, represents it, and shall convene   and chairs the meetings of the Council.

 § 9

1.The Foundation Board meets at least once a year.

2.The Foundation Council shall be convened by the Chairman of the Council on its own initiative or at the request of the Board or the Founder, submitted in writing.

3.The Foundation Council shall take decisions in the form of resolutions - a simple majority vote, in case of an equal number of votes, the vote of the President.

§ 10

The Council's tasks include in particular:

1.Appointment and dismissal of the President and members of the Board with the consent of the Founder.

2.Making decisions with the consent of the Founder of employment of the members of the Board and determine their remuneration.

3.Evaluation of the work of the Board, the adoption of the annual report or balance sheet and provide the members of the Management Board.

4.Controlling the current activities of the Board.

5.The main directions of activity of the Foundation.

6.Supervision over the activities of the Foundation.

7.Taking the consent of the Founder, and at the request of the Board decision to merge with another foundation or liquidation of the Foundation.

 § 11

The Foundation Board in performing its tasks is entitled to:

1.Require the Board to submit any documents concerning the activities of the Foundation.

2.Revise the assets and financial control of the Foundation.

 

Board. 

§ 12

1.Board of Directors shall consist of not more than three persons including the President, Vice President and Secretary, appointed and dismissed with the consent of the Founder by the Foundation for two years.

2.A member of the Board can serve more than one term.

3.The Foundation Board appoints the President of the Management Board with the consent of the Founder.

4.Board of Directors as a whole or its individual members may be dismissed by the Founder of the Foundation or before the expiry of the term of office by a resolution adopted unanimously by all members of the Council or of the Founder.

5.The term of office of the newly elected member of the Board expires with the term of office of the other members of the Board.

6.President, Vice President and Secretary of the Board in respect of their functions may be remunerated and rewarded on the basis of separate agreements, civil law, if so decided by the Founder in the appointment to the a / functions, or later in another, separate act.

§ 13

1.The Board directs the activities of the Foundation and represents it externally.

2.The duties of the Board include, in particular:

1.approval of annual action plans and financial plans of the Foundation,

2.adoption of regulations,

3.managing the assets of the Foundation,

4.determining the number of employees and amount of remuneration of employees of the Foundation,

5.decision-making in all matters not delegated to other authorities,

6.accepting donations, legacies and bequests, grants and subsidies,

3.The Board makes decisions at its meetings in the form of resolutions - a simple majority vote of its members present at the meeting.

4.The meeting must be communicated to all members of the Board.

5.The Board may appoint proxies to manage specific areas of belonging to the tasks of the Foundation.

6.The Board every year, until 30 September, is obliged to submit to the Foundation's annual report on the activities of the Foundation.

 

Method of Representation 

§ 14

Statements of intent on behalf of the Foundation is made independently by the President or Vice President, together with another member of the Management Board acting jointly.

 

Amendments to the Statute 

§ 15

Changes in the statutes of the Foundation Board of the Foundation is made with the consent of the Board and Founder. Amendments to the Statute may relate to the purposes of the implementation, which the Foundation has been established and defined at the outset. The sponsor may also change other provisions of the Statute.

 § 16

Founder by changing the Articles of Association may appoint other bodies of the Foundation.

 

Connecting with another foundation

§ 17

1.Foundation with the consent of the Founder can connect with another foundation for the effective implementation of its objectives.

2.Connecting with another foundation can not take place if the outcome would be changed goal of the Foundation.

3.For the effective implementation of its objectives the Foundation   may establish branches, plants, branches and join companies in the country and abroad

 § 18

In cases of merging with another Foundation jurisdiction is the Founder and   The Board, with its decisions are made by unanimous resolution, and to be effective must be approved by the Council.

 

Liquidation of the Foundation. 

§ 19

1.The liquidation of the Foundation with the consent of the Founder decided by the Council unanimously adopted resolution of the Foundation,  

2.Foundation appoints a liquidator by a resolution of the Council of the Foundation at the request of the Board.

3.Funds and assets remaining after liquidation of the Foundation may be intended effect of the resolution of the Foundation for operating in the Republic of Polish foundations with similar goals.

4.The liquidation of the Foundation Board of Directors shall immediately notify the Court and the Minister responsible for Culture.

 § 20 
Cases outstanding

In matters not covered by the statute are applicable provisions of the Law on Foundations.
